Terms & Conditions
Welcome to Hooter Group. These Terms & Conditions ("Agreement") govern all wholesale, OEM/ODM, and bulk purchase transactions between Hooter Group ("Seller") and the purchasing entity ("Buyer"). By placing an order or applying for a wholesale account, the Buyer agrees to be bound by these terms.
1. Wholesale Account & Pricing

Eligibility: To access wholesale pricing, Buyers must provide valid business registration or tax identification.

Pricing Confidentiality: All wholesale pricing and tier discounts provided via our platform or direct quotation are confidential and may not be disclosed to third parties.

Price Adjustments: Seller reserves the right to adjust pricing based on raw material costs (e.g., lithium batteries) or freight fluctuations with a 15-day notice for pending quotations.
2. Payment Terms & Financial Responsibility

Standard Terms: Unless otherwise agreed in writing, a 30% deposit is required to initiate production, with the remaining 70% balance due prior to shipment from the factory or US warehouse.

Net Terms: Net-30 or other credit terms are only available to pre-approved long-term partners following a successful credit review.

Late Payments: Any balance unpaid by the due date shall accrue interest at a rate of 1.5% per month or the maximum rate permitted by law.
3. OEM/ODM & Customization

Intellectual Property: Seller retains ownership of all pre-existing technology and designs. For custom branding (Logo printing/Packaging), the Buyer warrants they own the rights to the trademarks provided.

Production Variance: For custom-built battery units or E-bikes, a minor technical variance of ±3% in specifications is considered acceptable within industry standards.

Non-Cancellable: Once production of customized (OEM/ODM) goods has commenced, the order is non-cancellable and the deposit is non-refundable.
4. Shipping, Title, and Risk of Loss

Incoterms: Unless specified, all international bulk orders are shipped under FOB (Port of Origin) or EXW terms.

Transfer of Risk: Risk of loss or damage passes to the Buyer once the goods are handed over to the carrier.

Customs Clearance: For non-DDP orders, the Buyer is responsible for all import duties, taxes, and local customs compliance.
5. Warranty & Liability

Limited Warranty: We provide a 1-year limited warranty (unless stated otherwise for specific battery cells) against manufacturing defects.

Exclusions: Warranty does not cover damages resulting from improper storage, unauthorized modification, or misuse in extreme environments.

Limitation of Liability: Seller’s total liability for any claim shall not exceed the purchase price of the specific goods giving rise to the claim.
6. Default & Termination

Breach of Contract: Seller reserves the right to suspend shipments if the Buyer fails to make payments or breaches any material term of this Agreement.

Force Majeure: Neither party shall be liable for delays caused by circumstances beyond their reasonable control (e.g., natural disasters, global supply chain disruptions, or port strikes).
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Seller's primary business is registered, or as specified in the formal Sales Contract.
